User Agreement

Effective Date: March 1st, 2017.

This User Agreement ("Agreement") is a contract between you and Coins.co.th and applies to your use of Coins.co.th services. You must read, agree with and accept all of the terms and conditions contained in this Agreement.

This is an important document which you must consider carefully when choosing whether to use Coins.co.th services.

General

By signing up to use the Coins.co.th account through the Coins.co.th website, the Coins.co.th API, and/or any associated websites or mobile applications (collectively the “Coins.co.th site"), you agree to comply with and be legally bound by this Agreement, as revised from time to time. If you do not agree to any of the terms set forth in this Agreement, or any subsequent modification to the Agreement, you may not access or use any of the Coins.co.th services.

We may amend or modify this Agreement by posting on the Coins.co.th site or emailing to you the revised Agreement and the revised Agreement shall be effective at such time. We may (a) modify or discontinue any portion of the Coins.co.th services, and (b) suspend or terminate your access to, Coins.co.th services, at any time, and from time to time, without notice to you in certain, limited circumstances described herein. You agree that we shall not be liable to you or any third party for any modification or termination of the Coins.co.th Services, or suspension or termination of your access to the Coins.co.th Services, except to the extent otherwise expressly set forth herein.

Please note the following risks of using Coins.co.th services:

• Digital currency purchased using a bank account or credit card may be reversed at a later time, for example, if such a payment is subject to a chargeback, reversal, claim or is otherwise invalidated.

• A Digital currency transaction may be unconfirmed for a period of time (usually less than one hour, but up to one day) and never complete if it is in a pending state.

• Holding Digital currency is high risk. The price or value of Digital currency can change rapidly, decrease, and potentially even fall to zero.

• You agree that disputes between you and Coins.co.th will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.

1. Our Relationship with You

1.1 Coins.co.th helps you make payments to and accept payments from third parties. Coins.co.th also provides a Digital currency wallet service where you can store your Digital currency. Coins.co.th also allows users to buy and sell Digital currency. Coins.co.th is an independent contractor for all purposes. Coins.co.th does not have control of, or liability for, the products or services that are paid for with Coins.co.th services. We do not guarantee the identity of any user or other party or ensure that a buyer will complete a transaction. Coins.co.th is not a money transmitter. Coins.co.th assists its users in Digital currency transactions.

1.2 Your Privacy: Protecting your privacy is very important to Coins.co.th. Please review our Privacy Policy in order to better understand our commitment to maintaining your privacy, as well as our use and disclosure of your information.

1.3 Privacy of Others; Marketing: If you receive information about another user through Coins.co.th services, you must keep the information confidential and only use it in connection with Coins.co.th services. You may not disclose or distribute a user's information to a third party or use the information for marketing purposes unless you receive the user's express consent to do so. You may not send unsolicited email to a user through Coins.co.th.

1.4 Intellectual Property: "Coins.co.th" and all logos related to Coins.co.th services are either trademarks, or registered marks of Coins.co.th or its licensors.

1.5 Password Security and Keeping Your Email and Address Current: You are responsible for maintaining adequate security and control of any and all IDs, passwords, personal identification numbers (PINs), or any other codes that you use to access Coins.co.th services. You are responsible for keeping your email address up to date in your account Profile.

1.6 Notices to You: You agree that Coins.co.th may provide you communications about your account and Coins.co.th services electronically.

1.7 Notices to Coins.co.th We prefer receiving notices to Coins.co.th electronically through our support system at help@coins.co.th Paper notifications can also be sent to coins.co.th - See our contact page for our mailing address.

1.8 All product and company names are trademarks™ or registered® trademarks of their respective holders. Use of them does not imply any affiliation with or endorsement by them.

2. Accounts

2.1 Eligibility: To be eligible to use the Coins.co.th services, you must be at least 20 years old.

2.2 Multiple Accounts. Coins.co.th Accounts are personal and non-transferable. By using Coins.co.th, you agree that you will not create more than one Account, and that we may, without notice, close or suspend any or all of the Accounts of a Member who has, or whom we reasonably suspect has, opened multiple Accounts.

2.3 Identity Authentication: If you wish to buy or sell Digital currency through Coins.co.th, you authorize Coins.co.th, directly or through third parties, to make any inquiries we consider necessary to validate your identity.

2.4 Third Party Applications: If you grant express permission to a third party to connect to your Coins.co.th account, either through the third party's product or through Coins.co.th, you acknowledge that granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement. Further, you acknowledge and agree that you will not hold Coins.co.th responsible for, and will indemnify Coins.co.th from, any liability arising from the actions or inactions of this third party in connection with the permissions you grant. You may change or remove these permissions at any time from the Account Settings (API) page.

2.5 Taxes: It is your responsibility to determine what, if any, taxes apply to the payments you make or receive, and it is your responsibility to collect, report and remit the correct tax to the appropriate tax authority. Coins.co.th is not responsible for determining whether taxes apply to your transaction, or for collecting, reporting or remitting any taxes arising from any transaction.

2.6 Your account with us is not a bank account. Our services are not financial instruments, and we are not a regulated financial institution. No interest will be paid on any funds or currency you use to purchase or trade for any other currency, and such currency is not insured by the company or any government agency.

2.7 Limitations: Coins.co.th may delay an order if the customer has not provided personal identifying information, if it reasonably suspects that a customer is in violation of the Terms of Service, or if further personal identifying information is necessary to establish the identity of the customer ("KYC"). Until completion of such verification procedures, customers may experience delayed processing of Digital currency transactions or conversion service transactions. Coins.co.th will designate any such delayed transaction as "pending," and funds will not be available until the pending transaction is completed. Coins.co.th reserves the right to refuse to process, cancel, or to reverse any customer transaction (i) as required by law, (ii) in response to a facially valid subpoena, court order, or other government order, or (iii) if Coins.co.th reasonably suspects that the transaction is erroneous, or is in violation of the Coins.co.th User Agreement.

2.8 Unsolicited Deposits: Unsolicited deposits into our bank account are subject to a processing fee of up to 3,000.00 Baht per incidence. Coins.co.th reserves the right, at its own discretion, to either process or rejects such deposits and associated orders. Any reversal of funds will require adequate (as determined by Coins.co.th) proof of payment, identification of the payer, and proof of ownership of the originating account (where applicable).  Examples of unsolicited deposits include, but are not limited to: making a deposit without a corresponding order; check, wire, or other non-cash deposits; depositing an amount that substantially exceeds the order amount; placing an order after a deposit has been made; any type of deposit resulting in circumvention of account limits.

2.9 Wrong or Partial Beneficiary Details: A processing fee of up to 200.00 Baht per failed attempt may be assessed at Coins.co.th’s discretion for orders which we are unable to complete due to wrong or partial beneficiary information.

3. Digital Currency

3.1 Coins.co.th may cancel or reverse potentially high-risk buys or sells of Digital currency, including those made using reversible payment methods.

3.2 Coins.co.th does not cancel or reverse Digital currency-to-Digital currency transactions, as long as they are accepted and confirmed on the blockchain network.

3.3 Coins.co.th keeps 100% of customer funds in storage. Coins.co.th does not engage in fractional reserve lending.

3.4 In the event Coins.co.th needs to retrieve funds from offline storage, there can be a delay in sending coins of up to 48 hours.

3.5 Coins.co.th does not guarantee the value of Digital currency. You acknowledge that the price or value of Digital currency can change rapidly, decrease, and potentially even fall to zero. You acknowledge that holding Digital currency is high risk. You agree to deliver the agreed upon payment for Digital currency upon confirmation of an order, regardless of changes in Digital currency value.

3.6 Coins.co.th reserves the right to change the buy/sell limits and/or suspend trading activity on your account as we deem necessary.

3.7 Operation of Digital Currency Protocols. Coins.co.th does not own or control the underlying software protocols which govern the operation of Digital Currencies available for buy/sell and/or supported through our platform. In general, the underlying protocols are open source and anyone can use, copy, modify, and distribute them. By using Coins.co.th you acknowledge and agree (i) that Coins.co.th is not responsible for operation of the underlying protocols and that Coins.co.th makes no guarantee of their functionality, security, or availability; and (ii) that the underlying protocols are subject to sudden changes in operating rules (a/k/a "forks"), and that such forks may materially affect the value, function, and/or even the name of the Digital Currency you buy/sell at Coins.co.th In the event of a fork, you agree that Coins.co.th may temporarily suspend Coins.co.th operations (with or without advance notice to you) and that Coins.co.th may subsequently, in its sole discretion, (a) configure or reconfigure its systems or (b) decide not to support (or cease supporting) the forked protocol entirely, provided, however, that you will have an opportunity to withdraw funds from the platform. You acknowledge and agree that Coins.co.th assumes absolutely no responsibility whatsoever in respect of an unsupported branch of a forked protocol. Coins.co.th will support only one fork of each Digital Currencies protocol which we determine, at our sole discretion, best reflects the consensus approach.

3.8 The Coins.co.th services are available only in connection with those digital currencies that Coins.co.th, in its sole discretion, decides to support. The digital currencies that Coins.co.th. supports may change from time to time. Under no circumstances should you attempt to use the Coins.co.th services to store, send, request, or receive digital currencies in any form that are not supported by Coins.co.th. Coins.co.th assumes no responsibility or liability in connection with any attempt to use services for digital currencies that Coins.co.th does not support.

3.9 Digital Currency Transactions. Coins.co.th processes purchases and/or sales of supported digital currencies according to the instructions received from its customers and we do not guarantee the identity of any user, receiver or other party. You should verify all transaction information prior to submitting instructions to Coins.co.th. Once submitted to a digital currency network, a digital currency transaction will be unconfirmed for a period of time pending sufficient confirmation of the transaction by the digital currency network. A transaction is not complete while it is in a pending state. Funds associated with transactions that are in a pending state will be designated accordingly, and will not be included in your Coins.co.th. Account balance or be available for transactions. Coins.co.th. may charge network fees (miner fees) to process a digital currency transaction on your behalf. Coins.co.th will calculate the network fee in its discretion, although Coins.co.th will always notify you of the network fee at or before the time you authorize the transaction.

3.10 Coins.co.th securely stores all digital currency private keys in our control in a combination of online and offline storage. As a result, it may be necessary for Coins.co.th to retrieve certain information from offline storage in order to facilitate a digital currency transaction in accordance with your instructions, which may delay the initiation or crediting of such digital currency transaction for 72 hours or more. You acknowledge and agree that a digital currency transaction facilitated by Coins.co.th may be delayed.

3.11 Sending Digital Currency to Your THB Wallet. For customers receiving digital currency directly to their THB wallet using their bitcoin address, Coins.co.th. reserves the right to not process such conversion (for example, when such transaction exceeds our system limits), in which case, the funds will be remain in digital currency value and will be credited to the customer’s digital currency wallet.

4. Restricted Activities

4.1 Restricted Activities: In connection with your use of Coins.co.th services, other users, and third parties you will not: Violate any law, statute, ordinance, or regulation (for example, those governing financial services, controlled substances, or consumer protections); Intentionally try to defraud Coins.co.th or other Coins.co.th users. Infringe Coins.co.th's or any third party's copyright, patent, trademark, or intellectual property rights. Provide false, inaccurate, or misleading information. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure; or detrimentally interfere with, intercept, or expropriate any system, data, or information.

5. Disputes with Coins.co.th

5.1 Indemnification: You agree to indemnify and hold Coins.co.th, its parent, the officers, directors, agents, joint ventures, and employees, harmless from any claim or demand (including attorneys’ fees) arising out of your breach of this Agreement or your use of Coins.co.th services.

5.2 Release of Coins.co.th: If you have a dispute with one or more users, you release Coins.co.th (and our parent, officers, directors, agents, joint ventures, employees and suppliers) from any and all Claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes.

5.3 Disputes with Coins.co.th: If you think we have made an error, write to us at Coins.co.th or email us at support at Coins.co.th. In your correspondence, you must give us information sufficient to identify you, your account, and the transaction on which you believe an error occurred. You must contact us within 30 days after the transaction occurred. Within 90 days of receiving your request, we must either correct the error or explain to you why we believe the transaction was correct.

6. Customer Cash-in

6.1 Coins.co.th may introduce you to third party customers or "tellers" for the purpose of cashing-in funds into your Coins.co.th account. While we try to verify each teller, we will not assess the suitability, legality or ability of any third party cash-in providers and you expressly waive and release the company and/or its directors, officers and employees from any and all liability, claims or damages arising from or in any way related to the third party cash-in service provider. The company will not be a party to disputes, negotiations of disputes between you and such third party providers. Responsibility for the decisions you make regarding services offered via the software or service (with all its implications) rests solely with you. We will not assess the suitability, legality or ability of any such third parties and you expressly waive and release the company and/or its directors, officers and employees from any and all liability, claims, causes of action, or damages arising from your use of the software or service, or in any way related to the third parties introduced to you by the software or service.

6.2 Any references in the site, application or services to a customer being "verified" or "connected" (or similar language) only indicate that the Member has completed a relevant verification process, and does not represent anything else. Any such description is not an endorsement, certification or guarantee by Coins.co.th about any customer, including of the customer's identity and whether the customer is trustworthy, safe or suitable. Instead, any such description is intended to be useful information for you to evaluate when you make your own decisions about the identity and suitability of others whom you contact or interact with via the application and services. We therefore recommend that you always exercise due diligence and care when deciding whether to trust a teller or to accept a cash-in request from a customer, or to have any other interaction with any other customers.

7. General Provisions

7.1 Limitations of Liability: IN NO EVENT SHALL WE, OUR PARENT, THE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES AND SUPPLIERS OF Coins.co.th OR OUR PARENT BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR WEBSITE, Coins.co.th SERVICES, OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE). OUR LIABILITY, AND THE LIABILITY OF OUR PARENT, OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE ACTUAL AMOUNT OF DIRECT DAMAGES.

7.2 No Warranty: Coins.co.th SERVICES ARE PROVIDED "AS IS" AND WITHOUT ANY REPRESENTATION OF WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. Coins.co.th, OUR PARENT, THE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES AND SUPPLIERS OF Coins.co.th OR OUR PARENT SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Coins.co.th does not have any control over the products or services that are paid for with Coins.co.th services and Coins.co.th cannot ensure that a buyer or a Seller you are dealing with will actually complete the transaction or is authorized to do so. Coins.co.th does not guarantee continuous, uninterrupted or secure access to any part of Coins.co.th’s services, and operation of our site may be interfered with by numerous factors outside of our control. Coins.co.th will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts, credit cards, and check issuances are processed in a timely manner, but Coins.co.th makes no representations or warranties regarding the amount of time needed to complete processing because Coins.co.th services are dependent upon many factors outside of our control, such as delays in the banking system or the U.S. or international mail service. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimers may not apply to you. This paragraph gives you specific legal rights and you may also have other legal rights that vary from state to state.

7.3. Export Controls & Sanctions: The Coins.co.th services and the supply of Digital currency through the Coins.co.th site is subject to Thailand, international export controls and economic sanctions requirements. By acquiring any such items through the Coins.co.th site, you represent and warrant that your acquisition comports with and your use of the item will comport with those requirements. Without limiting the foregoing, you may not acquire Digital currency or any of the Coins.co.th services through the Coins.co.th site if: (1) you are in, under the control of, or a national or resident of Cuba, Iran, North Korea, Sudan or Syria or any other country subject to United States embargo, UN sanctions, HM Treasury's financial sanctions regime, or if you are on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Denied Persons List, Unverified List, Entity List HM Treasury's financial sanctions regime or sanctions restrictions imposed by various regulatory authorities, including those in the The Office of Foreign Assets Control ("OFAC"); or (2) you intend to supply the acquired Digital currency or Coins.co.th services to Cuba, Iran, North Korea, Sudan or Syria or any other country subject to United States embargo or UN sanctions (or a national or resident of one of these countries), or to a person on the Specially Designated Nationals List, Denied Persons List, Unverified List, Entity List, or HM Treasury's financial sanctions regime.

7.4 Sanctions Compliance. Coins.co.th is prohibited from providing services or entering into relationships with certain individuals and entities. In the event that Coins.co.th is required to block assets associated with your Coins.co.th account in accordance with a sanctions program, or other similar government sanctions programs, Coins.co.th may (i) deactivate or cancel your Digital currency Wallet(s) or block user activity, (ii) transfer funds from your Digital currency Wallet(s) to an originating source or to an account specified by authorities, or (iii) require you to transfer your Digital currency from your Digital currency Wallet(s) within a certain period of time. Coins.co.th is not responsible for any losses, whether direct or indirect, that you may incur as a result of our complying with applicable law, the guidance or direction of any regulatory authority or government agency, or any writ of attachment, lien, levy, subpoena, warrant or other legal order.

7.5 Computer Viruses. We shall not bear any liability, whatsoever, for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect your computer or other equipment, or any phishing, spoofing or other attack. We advise the regular use of a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should use care in reviewing messages purporting to originate from Coins.co.th. Always log into your Coins.co.th account through the Coins.co.th site to review any transactions or required actions if you have any uncertainty regarding the authenticity of any communication or notice.

8. No Foreign Currency Exchange

8.1 The customer must agree to never exchange Digital currency purchased from coins.co.th for any currency other than Thai Baht. The customer must also guarantee that any Digital currency the customer sells to coins.co.th have never been involved in exchange with any currency other than Thai Baht. In such case, no matter what type of foreign currency was involved, your action may be considered as dealing with foreign currency payment, and fall under the scope of jurisdiction of Ministerial Regulations No.1:3 (1954), as specified by the Exchange Control Act (1942).

Policy on Customers from the State of New York

In light of the recent New York “Bit License” regulations we have regretfully decided to no longer service customers who are either residents of, or are located in the state of New York.

By signing up for an account with us or by using any of our products and services, you confirm that you are not a New York State resident or New York State legal entity, and that you will not be using our services from the State of New York.

Appendix 1: Prohibited Businesses and Prohibited Use

The following categories of businesses, business practices, and sale items are barred from Coins.co.th services ("Prohibited Businesses"). By opening a Coins.co.th account, you confirm that you will not use Coins.co.th services in connection with the following businesses, activities, practices or items:

1. Operating as an unlicensed money transmitter, money service, payment service provider, e-money, or any other financial services business which requires licensure, including but not limited to exchanges of virtual currencies, sales of money orders or traveler's checks and escrow services

2. Counterfeit products or any product or service that infringes upon the copyright, trademark, or trade secrets of any third party

3. Stolen goods

4. Narcotics, controlled substances, prescription and pharmaceutical services, drug paraphernalia, or any substances designed to mimic illegal drugs

5. Gambling, except where permitted by Coins.co.th

6. Sports forecasting or odds making

7. Prostitution or illegal escort services

8. Violent acts towards self or others, or activities or items that encourage, promote, facilitate or instruct others regarding the same

9. Funding any of the items included on this Prohibited Businesses list

10. Extortion, blackmail, or efforts to induce unearned payments

11. Unlicensed sale of firearms and certain weapons

12. Engaging in deceptive marketing practices

13. Any business that violates any law, statute, ordinance or regulation

You may not use your Coins.co.th account to engage in the following categories of activity ("Prohibited Use"). By opening a Coins.co.th account, you confirm that you will not use your account to do any of the following:

1. Violate or assist any party in violating any law, statute, ordinance, regulation or any rule of any self-regulatory or similar organization of which you are or are required to be a member (for example, those laws, rules, regulations governing financial services, controlled substances, or consumer protections);

2. Partake in a transaction which involves the proceeds of any unlawful activity;

3. Partake in any transaction involving online gambling except where permitted by Coins.co.th;

4. Defraud or attempt to defraud Coins.co.th or other Coins.co.th users;

5. Infringe upon Coins.co.th's or any third party's copyright, patent, trademark, or intellectual property rights;

6. Provide false, inaccurate or misleading information;

7. Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information;

8. Interfere with another individual's or entity's access to or use of any of the Coins.co.th services;

9. Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;

10. Publish, distribute or disseminate any unlawful material or information;

11. Transmit or upload any material to the Coins.co.th site that contains viruses, trojan horses, worms, or any other harmful or deleterious programs;

12. Harvest or otherwise collect information from the Coins.co.th site about others, including without limitation email addresses, without proper consent;

13. Act as a payment intermediary or aggregator or otherwise resell any of the Coins.co.th services, unless expressly authorized by Coins.co.th in writing;

14. Transfer any rights granted to you under this Agreement;

15. Use the Coins.co.th account information of another party to access or use the Coins.co.th site, except in the case of specific merchants and/or applications which are specifically authorized by a user to access such user's Coins.co.th account and information;

16. Otherwise attempt to gain unauthorized access to the Coins.co.th site, other Coins.co.th accounts, computer systems or networks connected to the Coins.co.th site, through password mining or any other means; or

17. Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law.

18. US Residents are prohibited from using Coins.co.th for money transmission or to conduct any other financial activity requiring licensure or covered by regulations governing financial services.


Tradedesk Terms and Agreement

Effective Date: December 20th, 2022.

This User Agreement ("Agreement") is a contract between you and Coins.co.th and applies to your use of Coins.co.th services. You must read, agree with and accept all of the terms and conditions contained in this Agreement.

By accessing and using the Tradedesk services provided by Coins TH (“Tradedesk Services”) you agree to accept and comply with the User Agreement stated below (“Tradedesk Terms”). This term is a part of Coins TH User Agreement however it would only be enforced along with other clauses stated in the User Agreement when you have used our Tradedesk service. You should read the entire Tradedesk Terms, together with the Coins TH User Agreement, carefully before accessing and using the Tradedesk Services. In case of discrepancies between Coins TH User Agreement and these Tradedesk Terms, these Tradedesk Terms shall prevail. These Tradedesk Terms govern your use of the Tradedesk services provided by us, which are described in greater detail herein. These Tradedesk Terms are a prerequisite for your access to the Tradedesk Services and you agree that you have read, understood, and accepted all of these Tradedesk Terms contained herein.

Depending on your place of residence, you may not be able to use Tradedesk Services, or your use may be limited. It is your responsibility to follow the rules and regulations applicable in your place of residence and/or place from which you access Tradedesk Services. As long as you agree to and comply with the present Tradedesk Terms as well as Coins TH User Agreement, We grant you a personal, non-exclusive, non-transferable, non-sub licensable and limited right to enter the Coins TH platform and use Tradedesk Services.

Coins TH reserves the right to change, add or remove parts of these Tradedesk Terms at any time and at its sole discretion. You will be notified of any changes in advance through your Email. Upon such notification, it is your responsibility to review the amended Tradedesk Terms. Your continued usage of Tradedesk Services following the posting of a notice of changes to the Tradedesk Terms signifies that you accept and agree to the changes, and that all subsequent actions by you will be subject to the amended Tradedesk Terms.

Tradedesk Services in General

Coins TH Tradedesk Services are part of the Coins TH service that enables you to enter into over-the-counter Digital Assets purchase and sale transactions (“Tradedesk Transaction”) without being subject to the normal trading price or daily limit restriction shown in the platform.

Tradedesk Services are provided to you on a request for quote basis (“Tradedesk RFQ”). You can access the Tradedesk Services through our service email (Tradedesk@coins.co.th) or any mean of communication set forth by the company (“Tradedesk Channels”) detail of how to use our service have been provided in this FAQ

Tradedesk Services

Coins TH reserves the right to offer you with particular Digital Assets via the Tradedesk Services; however, the Digital Assets that are available for trading via the Tradedesk Services will be publicly announced in our FAQ and may be subject to a change at any moment at our sole discretion. Tradedesk Services are provided on a pre-trade basis and require the full amount of relevant Digital Assets and/or fiat currency before requesting the quote for buying and/or selling Digital Assets over-the-counter (“Quote”). Tradedesk Services may be subject to limitations and the minimum amount to be able to access Tradedesk Services may apply.

All communications related to the Tradedesk Services (e.g response to a Quote, Quote status, Transaction confirmation) may be provided by using any methods of communications (e.g., instant message conversation, oral communications, emails).

1. Quote

You may submit a request for a Quote (“Quote Request”) through the Tradedesk Channels. In response to your Quote Request, Coins TH will provide you with a Quote. A Quote received is valid for a specific amount of time as shown in the Tradedesk Channels. You may accept or reject the Quote (A failure in responding within a given time is deemed as rejection). Any negotiation about the specific Quote is not possible.

When you accept the Quote (“Accepted Quote”), the Transaction is pending until the terms of the Transaction are confirmed by us. Your Accepted Quote does not constitute any binding agreement and can be rejected by Coins TH. The Transaction status is provided through the Tradedesk Channels.

You agree that Coins TH may, in its sole and absolute discretion, determine whether to process or decline to process a Quote Request, Quote, Accepted Quote or any other response to a Quote.

2. Execution

When the Accepted Quote is confirmed by the Company (“Confirmed Quote”), the Transaction is confirmed and becomes binding and final (the “Execution”). A Transaction for which Execution has occurred is an executed Transaction (the “Executed Transaction”) and may not be unwound unless all parties of the Transaction agree in writing otherwise and/or explicitly stated otherwise in these Tradedesk Terms. Upon Execution, the terms of the Executed Transaction shall constitute a binding contract between you and the Company.

However, if Coins TH determines in its sole and absolute discretion that (i) a Quote provided to you by Coins TH, and/or (ii) Confirmed Quote contained an obvious error with respect to the terms, including but not limited to the price or amount of Digital Assets, set forth in that Quote, Accepted Quote and/or Confirmed Quote, Coins TH shall have the right to cancel the Transaction by delivering notice of the cancellation to you and the Company at any time prior to Settlement (“Transaction Cancellation”). In the absence of such an obvious error, the terms of a Quote accepted by you (Accepted Quote) and confirmed by the Company (Confirmed Quote) shall be conclusive.

3. Settlement

Coins TH will settle an Executed Transaction with you after the Execution by delivering the Digital Assets and/or fiat currencies owed to you under the Executed Transaction to your Account (“Settlement”). Depending on the amount of the Settlement Coins TH reserves the right to delay the Settlement. You will be notified of the approximate but non-binding settlement time through the Tradedesk Channels before you accept the Quote.

You shall not withdraw, attempt to withdraw, transfer, alienate or provide a lien to any third party on any Digital Asset or fiat currency held on your Account to satisfy your obligation under any Executed Transaction. Coins TH will not be responsible for any failure to settle in accordance with the timing set out above as a result of technological failures such as the internet going down and being unavailable.

You acknowledge and accept that in case of the Transaction Cancellation the Settlement does not occur and neither Coins TH, our affiliate is liable for any losses incurred as a result of the failure to settle the Executed Transaction.

Notwithstanding the foregoing, Coins TH reserves the right to reasonably determine whether an extraordinary event occurred that results in Coins TH’s inability to honor the Executed Transaction. These events include, but are not limited to identified system failure, data feed error, interruption, delay, force majeure, or other circumstances. Coins TH undertakes to immediately notify you about the extraordinary event resulting in the inability to honor the Executed Transaction. After such notification has been sent by Coins TH, you agree that Coins TH will not be required to honor the Executed Transaction and that any Executed Transaction affected by the extraordinary event is null and void.

4. Fees

Tradedesk Services and specifically the Quotes are offered on the basis of a variable spread. Due to the volatile nature of Digital Assets, a typical spread cannot be determined in these Tradedesk Terms, the Tradedesk Channels or on the Coins TH platform.

5. Representations and Warranties

You acknowledge and agree that when entering Transactions, you will be transacting for your own account, and in an arm’s-length role in relation to Coins TH.

Coins TH employs measures to ensure that Tradedesk Services are accessible at all times, during given working hours, without interruption. Notwithstanding this, Coins TH cannot guarantee uninterrupted or error-free operation of Tradedesk Services, or that Coins TH will correct all defects or prevent third-party disruptions or any force majeure incident. In the event of such disruptions, Tradedesk Services may not be accessible in part or in full.

Coins TH makes no representations and warranties and makes no guarantees that any particular Digital Assets will be available for Tradedesk trading on a continuous basis. Coins TH reserves the right, at any time, with or without cause or prior notice, at its sole discretion to limit, suspend, or terminate all or part of the Tradedesk Services or your access to the Tradedesk Services and/or Tradedesk Channels.

For the avoidance of doubt, Coins TH shall not have any obligation to send any received Quote Request and/or Accepted Quote. You understand that you are solely responsible for maintaining any alternative arrangements that may be needed or desirable if any or all of the Tradedesk Services becomes unavailable or disrupted.

COINS TH MAKES NO REPRESENTATION OR WARRANTY THAT “TRADEDESK SERVICE” SERVICES AS SUCH ARE APPROPRIATE FOR USE IN ALL LOCATIONS, OR THAT THE TRANSACTIONS AND SERVICES DESCRIBED HEREIN ARE AVAILABLE OR APPROPRIATE FOR ENTRY INTO OR USE IN ALL JURISDICTIONS OR BY ALL PARTIES. YOU SHOULD INFORM YOURSELF AS TO THE LEGAL REQUIREMENTS AND TAX CONSEQUENCES OF USING “TRADEDESK SERVICE” WITHIN ALL JURISDICTIONS APPLICABLE TO YOU. COINS TH IS NOT RESPONSIBLE FOR TAX CONSEQUENCES TO YOU THAT ARISE BECAUSE OF USING “TRADEDESK SERVICE” SERVICES PROVIDED BY COINS TH.

6. Limitation of Liability

For the avoidance of doubt, the disclaimers of warranty, limitation of liability and indemnification and releases set out in the Coins TH User Agreement shall cover the Tradedesk Services, and these Tradedesk Terms and the Coins TH User Agreement shall be interpreted accordingly.

By creating an account or use Coins TH services, we may collect, use, and / or disclose the following types of information:

• Personal information – Title, first name, middle name, last name, alias (if any), Gender, date of birth, age, Nationality, country of residence, Signature, Data on the document issued by government agencies (such as copy of national ID card, copy of passport, copy of visa, copy of certificate of alien, copy of work permit, copy of government / state enterprise official, copy of house registration, copy of birth certificate, copy of name change, copy of marriage certificate, copy of death certificate, copy of documents used for identifying and confirming identity of the same characteristic), other KYC and CDD data, etc.

• Contact information – Address per important document, home address and address in the country of your nationality, workplace, Telephone number, mobile phone number, email, Name or user name for contact via electronic communication or online social media (such as LINE ID), Evidence for having residence in Thailand, etc.

• Education and work information – your highest education level, Career and professional field, Work detail, type of business, etc.

In certain cases we may need to collect use and/or disclose yourSensitive Personal Data from you in order to provide services or products to you, however prior to the collect, use and / or disclose the Sensitive Personal Data we will make sure that it has been given explicit consent by you or permitted by law. This shall be undertaken on a case by case basis when we are required to collect Sensitive Personal Data from you.

What are the objectives of collection, use and / or disclosure of THE PERSONAL INFORMATION

Our primary purpose in collecting personal information is to provide you with a secure, smooth, efficient, and customized experience. We may use your personal information based on lawful bases as necessary under Coins TH’s legitimate objectives, such as, for compliance with the contract in which you are a contract party or your request, for performance of duties as required by law , for the legitimate interest and / or for operations under lawful bases for the following objectives:

• Delivery of products and / or services under the contract you have entered into with us – such as Any operation related to the provision of products and / or service, Provide Coins TH services and customer support you request, Process transactions and send notices about your transactions, Resolve disputes, collect fees, and troubleshoot problems, customer relationship management, any other operation related to the provision of products and / or services.

However we may, from time to time, request for your explicit consent to collect and use your personal information for the purpose of marketing operation which will improve and personalize Coins TH services, content and advertising.

Whom do we share your personal information to?

Under your consent or criteria permitted by law, we may disclose your Personal Data to a third party. Persons or agencies receiving such Personal Data will collect, use and / or disclose your Personal Data within the scope for which you have given consent, or within the scope related to this Policy. Receiving parties which we may share your personal information with involving:

• Service providers under contract who help with parts of our business operations such as financial institution, fraud prevention, marketing, technology services, etc. Our contracts dictate that these service providers only use your information in connection with the services they perform for us and not for their own benefit.

If you establish a Coins TH account indirectly on a third party website or via a third party application, any information that you enter on that website or application (and not directly on a Coins TH website) will be shared with the owner of the third party website or application and your information may be subject to their privacy policies.

Will your information be transferred to other countries?

We may need to send or transfer your Personal Data to other companies as part of our normal business operation. For instance, sending or transferring Personal Data for storage on cloud platforms or servers located in other countries, etc. However if the destination country has insufficient standards of Personal Data protection, we shall ensure that Personal Data will be sent or transferred in accordance with law and shall set standards of Personal Data protection as deemed necessary, and appropriate for and consistent with the confidentiality standards

How long does we keep your information?

We will keep your Personal Data during the period you are our customer or have a relationship with us, or throughout the period required in order to achieve the related objectives of this Policy. Once your relationship with us ends, we will further keep your Personal Data for a period as necessary according to the statute of limitations or for a period as required or permitted by law, for instance:

• Personal Data shall be kept in accordance with the anti - money laundering law, taxation law and other related laws that we are under compliance for 5 - 10 years after the end of the relationship, as the case may be.

• Personal Data shall be kept until any legal disputes are resolve.

We will undertake operations through appropriate steps to delete or destroy the Personal Data or make it anonymous when it is no longer necessary or said period ends.

How we protect and store personal information

Throughout this policy, we use the term “personal information” to describe information that can be associated with a specific person and can be used to identify that person. We do not consider personal information to include information that has been anonymized so that it does not identify a specific user. Coins TH takes reasonable precautions, as described herein, to protect your personal information from loss, misuse, unauthorized access, disclosure, alteration, and destruction.

We store and process your personal information on our computers in Asia Pacific and elsewhere in the world where Coins TH facilities or our service providers are located, and we protect it by maintaining physical, electronic and procedural safeguards. You as a data subject, have the following rights to ;

Withdrawal of consent: You have the right to withdraw such consent at any time within legal requirements.

Anti-Money Laundering (AML)

Money laundering is an offense which most countries, including Thailand, treat as a top priority to combat. Although it is not an offense that causes death, serious injuries or violation of freedom of an individual, it enables organized crimes to cause damages to countries’ economy and security.

Money laundering is the process of making illegally-gained proceeds (i.e. “dirty money”) appear legal (i.e. “clean”). Typically, it involves three steps: placement, layering and integration. First, the illegitimate funds are furtively introduced into the legitimate financial system. Then, the money is moved around to create confusion, sometimes by wiring or transferring through numerous accounts. Finally, it is integrated into the financial system through additional transactions until the “dirty money” appears “clean”.

Coins TH as financial institutions fall within the scope of the AML-CFT obligations in Thailand, which the Company has implemented systems and procedures aligned to the Thailand AML legislation. This reflects the Company’s desire to prevent money laundering and not be used by criminals to launder proceeds of crime.

Anti-Money Laundering (AML) Policy:

Coins TH AML Policy is designed to prevent money laundering by meeting the Thailand AML legislation obligations including the need to have adequate systems and controls in place to mitigate the risk of the firm being used to facilitate financial crime. This AML Policy sets out the minimum standards which must be complied with and includes:

• The appointment of a AML Officer who has sufficient level of seniority and independence and who has responsibility for oversight of compliance with relevant legislation, regulations, rules and industry guidance;

• Establishing and maintaining a Risk Based Approach (RBA) towards assessing and managing the money laundering and terrorist financing risks to the company;

• Establishing and maintaining risk-based customer due diligence, identification, verification and know your customer (KYC) procedures, including enhanced due diligence for those customers presenting higher risk, such as Politically Exposed Persons (PEPs);

• Establishing and maintaining risk based systems and procedures to monitor on-going customer activity;

• Procedures for reporting suspicious activity internally and to the relevant law enforcement authorities as appropriate;

• The maintenance of appropriate records for the minimum prescribed periods;

• Training and awareness for all relevant employees

Sanction Policy

Coins TH does not deal with individuals and entities that are engaged in illegal activities or terrorist-related activities as circularized by the AMLO, and other international entities or organizations, such as United Nations Sanctions List.

Compliance with the laws

Coins TH ensures that its business is conducted in conformity with the height of ethical standards, that laws and regulations are respected and complied with whenever possible, and that service is not provided where there is good reason to believe that transactions are associated with money laundering activities.

Cooperation with law enforcement agencies

Within the legal constraints relative to client confidentiality, Coins TH cooperates with law enforcement agencies. This includes taking appropriate measures within the law if there are reasonable grounds for suspecting money laundering. The company may disclose some transaction information in order to comply with the Anti-Money Laundering Act.

2. Asset Custody

The Company is not a financial institution under the Deposit Protection Agency Act. In addition, depositing money and digital assets with the Company is not a deposit that is protected according to the Deposit Protection Agency Act. In the case of damage to customer assets deposited with the Company, the customer may not receive the full amount of assets back from the Company immediately.

3. A Company Financial Assessment

Customers can check the financial status of the Company from the financial statements and the operating result report published on the Company's website. In addition, other information should also be considered before deciding to use the services, such as the service quality, complaint management, etc.

4. Risk Management

Customers may manage the risks related to digital asset custody by depositing digital assets with the Company in an adequate amount for the transaction purpose. For the remainder that is not used for transactions, customers may consider storing it in your personal digital wallets. Prior to proceeding with transfers or transactions, customers should study how to use each type of wallets and how to securely store private key or password, and etc.
